1. About these terms
DiBOT is an AI business assistant robot and a product of DiTa BC, the trading name of DiTa for Business Consultancy, a limited liability company registered in Egypt ("DiTa BC", "we", "us"), which develops, operates and owns DiBOT. Some clients outside Egypt, including in the Gulf, contract with and are invoiced by our affiliate DiTa BC LLC (USA), and their signed agreement names it as the contracting party. These terms apply to every client that uses DiBOT ("the client", "you") and to anyone who uses dibot.site. By using DiBOT you agree to them. A signed agreement takes priority over these terms where the two differ.
2. Who can use DiBOT
DiBOT is not a self-service product. DiTa BC is a consultancy firm, and we provide DiBOT only to clients we have reviewed and accepted.
- Every client must be a legally registered business, organization or institution, or an individual we accept for a specific lawful purpose under a signed agreement, such as a candidate in an official election.
- Each client is represented by a person authorised to act for it.
- Before installation, we ask for proof, such as a commercial registration, tax card, licence or official nomination, and the details of the authorised person.
- We may decline, or end, the service for any client we cannot verify, or whose activity is unlawful, misleading, inappropriate or could harm DiTa BC's reputation.
- On WhatsApp, Instagram and Messenger, the client must also meet Meta's own business verification and eligibility rules.
3. The service
DiBOT answers your customers on your website, WhatsApp, Instagram and Facebook Messenger, using the knowledge you give it. It records contact details your customers choose to share and shows them in your control panel. DiTa BC sets up your DiBOT, hosts it and supports it during your subscription.
4. Your account
Keep your control panel logins private and tell us at once if you suspect misuse. You are responsible for what your users do in your account.
5. DiBOT-Credit and payment
- Your DiBOT-Credit balance, not the calendar, decides how long DiBOT answers. Each credit covers about 2 to 4 messages, depending on how much work each reply takes.
- A subscription runs for 12 months, or for 6 months where your contract says so. The first installation includes the system and support for the subscription period.
- A 12-month first installation starts at 1,500 DiBOT-Credit. The minimum for a 6-month contract is set in your quotation. First-installation credit is valid until the subscription period ends.
- A busy DiBOT can use its whole balance well before the period ends, even within a few days. When credit reaches zero, DiBOT stops answering until you add a DiBOT-Extra-Package. Choosing not to top up does not entitle you to a refund.
- A DiBOT-Extra-Package tops up an active subscription, starts at 500 credits, and is valid until fully used.
- We warn you when 80% and 95% of your credit is used, so you can decide in time.
- Clients in Egypt are invoiced in Egyptian pounds and pay 14% VAT on top of the price. Clients outside Egypt are invoiced in US dollars, without Egyptian VAT, and pay by card or bank transfer as set out in their agreement. Any tax due in the client's own country is the client's responsibility.
- Fees Meta charges for WhatsApp conversations are separate from DiBOT-Credit and are paid by you directly to Meta.
- DiBOT-Credit is non-refundable once your DiBOT is installed, whether used or not, except where the law requires a refund.
6. Your content and your customers
- You own the knowledge, files and content you give DiBOT, and you are responsible for keeping them accurate and lawful.
- You must have the right to contact your customers. On WhatsApp, you must collect their opt-in before sending them messages they did not ask for. Every marketing message must name your business, say it is marketing and give an easy way to opt out, and you must keep proof of consent for three years.
- You must follow Meta's terms and policies, including the WhatsApp Business Messaging Policy, when DiBOT runs on Meta channels.
- You decide why your customers' data is collected. DiTa BC processes it on your behalf, as described in our Privacy Policy.
7. Acceptable use
You must not use DiBOT to:
- send spam or messages people did not agree to receive;
- share unlawful, misleading, hateful or harmful content;
- offer or promote adult or otherwise inappropriate content or services;
- pretend to be another person or business;
- collect card details, passwords, or sensitive data such as health, financial, religious or political information or data about children;
- try to break, copy or overload the service.
We may suspend a DiBOT that breaks these rules or puts our service or Meta channels at risk. We will tell you why.
8. AI replies
DiBOT writes replies with AI from the knowledge you provide. It is designed not to invent prices or facts, but AI can still make mistakes. Review your knowledge regularly and check important answers. DiBOT does not give legal, medical or financial advice on your behalf.
9. Availability
We work to keep DiBOT running at all times, but we do not guarantee it will be uninterrupted. Maintenance, Meta or hosting outages and events outside our control can affect the service. We will tell you in advance about planned maintenance where we can.
10. Our rights
The DiBOT software, name, design and robot character belong to DiTa for Business Consultancy. Your subscription gives you the right to use DiBOT for your own business during its term. It does not transfer ownership.
11. Limit of liability
To the extent the law allows, DiTa BC is not liable for indirect losses, such as lost profit or lost business. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.
12. Ending the service
You can stop renewing at the end of your subscription period. We may end the service if you seriously break these terms or do not pay. When the service ends, your data is deleted as set out in our Privacy Policy.
13. Changes
We may update these terms. We will post changes on this page and tell clients by email before a material change takes effect.
14. Law and disputes
These terms are governed by the laws of Egypt, and disputes go to the competent courts of Cairo, unless a signed agreement says otherwise.
